UCC Filings, Security Agreements & PMSIs in B2B Credit

This session delivers a practical, business-focused overview of how UCC filings, security agreements, and Purchase Money Security Interests (PMSIs) function within B2B credit relationships. Designed for credit and risk professionals, the class explains how secured interests are created, perfected, and prioritized - and why misunderstanding any one of these elements can expose a company to unnecessary credit risk.

Participants will learn the distinct role each document plays, how they work together to protect creditor rights, and how to properly evaluate UCC records when reviewing credit applications or managing existing accounts.

Instructors Samantha Riggen & Micah Rabin
Samantha Riggen is a partner in the Westlake Village office of Gibbs Giden where she represents clients in all areas of business and commercial matters with an emphasis on construction litigation. Her construction practice includes the prosecution and defense of claims arising out of both public and private projects. She is experienced in contractual disputes, mechanic’s liens, and stop payment notice and bond claims. Samantha counsels clients through all phases of litigation, including pre-litigation analysis, negotiations, mediation, arbitration, and settlement. She helps client obtain favorable judgments and has substantial experience is enforcing judgments through various collection remedies.

Micah Rabin represents clients in the areas of business, commercial, and construction litigation in addition to business and commercial transactions. Ms. Rabin has worked on complex construction litigation for private and public works projects, and contract drafting and analysis. She actively participates in litigation matters from inception through resolution, including drafting and responding to written discovery, researching and analyzing complex legal issues, and preparing for and participating in mediation and arbitration.
During law school, Ms. Rabin competed as an oralist in the 2025 Willem C. Vis International Commercial Arbitration Moot in Vienna, gaining advocacy experience in international commercial law and arbitration. She also studied abroad at Pepperdine University’s London campus and interned with a large international law firm in London.
